Interpretation and Definitions
Interpretation
The words with initial letters capitalized have meanings defined under the following conditions. The following definitions shall apply whether they appear in singular or plural.
Definitions
For the purposes of these Terms and Conditions:
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for directors or other managing authority.
Account means a unique account created for you to access Our Service or parts of Our Service.
Country refers to: California, United States.
Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Dental AI Assist, Inc., 793 S Van Ness, San Francisco, CA 94110.
Device means any device that can access the Service, such as a computer, cellphone, or digital tablet.
Feedback means feedback, innovations, or suggestions sent by you regarding the attributes, performance, or features of Our Service.
Free Trial refers to a limited period that may be free when purchasing a Subscription.
Promotions refer to contests, sweepstakes, or other promotions offered through the Service.
Service refers to the Website and AI-powered dental support platform.
Subscriptions refer to services or access to the Service offered on a subscription basis by the Company to You.
Terms and Conditions (also referred to as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
Third-party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available by the Service.
Website refers to Dental AI Assist, accessible from https://www.dentalaiassist.com
You means the individual accessing or using the Service, or the company or legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgment
These Terms govern the use of this Service and the agreement that operates between You and the Company. They set out the rights and obligations of all users regarding the Service.
Your access to and use of the Service is conditioned on Your acceptance of these Terms. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.
You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of Our Privacy Policy. Please read it carefully before using Our Service.
Subscriptions
Subscription Period
The Service or parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring basis (daily, weekly, monthly, or annually), based on the plan you select.
Your Subscription will automatically renew unless you cancel it or we do.
Subscription Cancellations
You may cancel Your Subscription renewal through Your Account settings or by contacting Us. Subscription fees for the current period are non-refundable, but You will retain access until the period ends.
Billing
You agree to provide accurate billing information, including Your name, address, contact details, and valid payment method.
If automatic billing fails, We will send an invoice, and You must complete payment manually by the due date.
Fee Changes
We may modify Subscription fees at Our discretion. Any changes will apply after the current Subscription period ends. We will provide reasonable notice before fee changes.
Continued use after fee changes means You agree to the new fees.
Refunds
Except when required by law, Subscription fees are non-refundable. Refund requests may be considered at Our discretion.
Free Trial
We may offer Free Trials at Our discretion. Billing information may be required. You will not be charged until the Free Trial expires. If You don’t cancel before expiry, You will be charged for the Subscription.
We reserve the right to modify or cancel Free Trial offers at any time.
Promotions
Promotions may have separate rules. Please review applicable rules and Our Privacy Policy. If Promotion rules conflict with these Terms, the Promotion rules apply.
Dental AI Assist Services
Eligibility
You may use the Service only in compliance with these Terms and all applicable laws. You must be legally able to form a contract. The Service is not for those under 18 or users previously prohibited from using the Service.
Call Recording
If enabled, Our Service allows You to record calls (each a “Call Recording”). You are responsible for obtaining all required consents under applicable laws. To enable or disable Call Recording, contact support@dentalaiassist.com.
SMS
Users may receive text messages after providing verbal consent, which may be given during a call or in person. Consent is stored, and users can opt out by replying “STOP” to a message.
Verbal Script for SMS opt-in:
Dental AI Agent: “Would you like to receive appointment confirmation text messages? Message and data rates may apply. You may opt out anytime by replying STOP. Please reply ‘yes’ or ‘no’ to indicate if you would like this service.”
Customer: “Yes, I would like to receive text messages.”
Dental AI Agent: “Great! You will receive a confirmation text shortly.”
User Accounts
You must provide accurate information when creating an Account. You are responsible for safeguarding your password and Account activities.
Do not use another person’s name or a name that infringes trademarks, is offensive, vulgar, or obscene.
Notify us immediately of any unauthorized use or security breach.
Intellectual Property
The Service, excluding user-provided content, is and will remain the exclusive property of the Company and its licensors.
The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.
Your Feedback to Us
You assign all rights to the Feedback provided to Us. If the assignment is ineffective, you grant Us a perpetual, royalty-free, worldwide license to use such Feedback without restriction.

Our Service may contain links to third-party websites. We have no control over and are not responsible for their content, privacy policies, or practices.
We advise you to review the terms and privacy policies of any third-party websites.
Termination
We may terminate or suspend Your Account immediately for violations of these Terms. Upon termination, your right to use the Service ceases.
You may terminate Your Account at any time by discontinuing use.
Limitation of Liability
To the maximum extent permitted by law, the Company’s total liability shall be limited to the amounts you paid in the last three months or 100 USD if no purchases were made.
We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, business interruption, or personal injury, even if advised of the possibility.
Some states do not allow certain exclusions, so limitations may not apply to you.
“AS IS” and “AS AVAILABLE” Disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
We do not guarantee that the Service will be uninterrupted, error-free, virus-free, or meet your requirements.
Some jurisdictions do not allow certain warranty exclusions, so limitations may not apply to you.
Governing Law
These Terms are governed by the laws of California, United States, excluding conflict of law rules.
Dispute Resolution
If you have concerns or disputes regarding the Service, you agree to attempt informal resolution by contacting Us.
For European Union Users
EU consumers will benefit from any mandatory provisions of their local law.
U.S. Federal Government End Use
If you are a U.S. federal government end user, Our Service is a “Commercial Item” as defined in 48 C.F.R. §2.101.
U.S. Legal Compliance
You represent that you are not located in a country subject to a U.S. embargo or listed on U.S. government restricted parties lists.
Severability and Waiver
Severability: If any part of these Terms is found unenforceable, the remainder will continue in full force.
Waiver: Our failure to enforce a right does not waive our ability to enforce it in the future.
Translation Interpretation
If these Terms have been translated, the English version prevails in case of conflict.
Changes to These Terms
We may modify these Terms at any time. Material changes will be notified at least 30 days before taking effect.
